3.1 Permitted Use

4. Products, Quotations & Orders

4.1 Product Information

Product descriptions, specifications, and images on our website are provided for general reference only. Final specifications are confirmed through the sales contract and Performa Invoice.

4.2 Our Purchase Process

1. Step 1: Select material and confirm price with PAVANDEAL Sales Associate
2. Step 2: Share company information and required product specifications
3. Step 3: Receive and review Performa Invoice and Sales Contract
4. Step 4: Submit payment to confirm the order
5. Step 5: Receive loading pictures after balance payment
6. Step 6: Await doorstep delivery

4.3 Quotations

All quotations issued by PAVANDEAL are valid for 14 days from the date of issue unless otherwise stated in writing. Prices are subject to change without notice until a formal Sales Contract is signed.

4.4 Order Confirmation

An order is only confirmed upon receipt of the signed Sales Contract and the required advance payment. PAVANDEAL reserves the right to decline any order at its discretion.

5. Pricing & Payment

5.1 Pricing

All prices are quoted in the agreed currency (USD, GBP, AUD, or INR as applicable) and are exclusive of applicable taxes, duties, freight, and insurance unless explicitly stated otherwise in the Performa Invoice.

5.2 Payment Terms

• Advance payment is required to confirm an order
• Balance payment must be completed before shipment unless otherwise agreed in writing
• Payment must be made via bank transfer or agreed payment method as specified in the Sales Contract
• PAVANDEAL is not responsible for any bank charges, conversion fees, or delays caused by the buyer's financial institution

5.3 Late Payment

In the event of late payment, PAVANDEAL reserves the right to suspend production or shipment, charge applicable interest, and/or cancel the order. Any costs incurred due to buyer-caused delays remain the buyer's responsibility.

6. Delivery & Shipping

6.1 Delivery Terms

Delivery terms (FOB, CIF, DAP, etc.) are specified in the Sales Contract and Performa Invoice for each order. Delivery timelines are estimates only and PAVANDEAL shall not be liable for delays caused by shipping carriers, customs, weather, or other factors beyond our reasonable control.

6.2 Risk of Loss

Risk of loss or damage to goods transfers to the buyer in accordance with the delivery terms specified in the Sales Contract (typically at the point of loading/shipment from India).

6.3 Customs & Import Duties

The buyer is solely responsible for all import duties, customs clearance, taxes, and compliance with import regulations in the destination country. PAVANDEAL will provide all necessary export documentation to assist with customs clearance.

7. Quality & Warranties

7.1 Quality Assurance

PAVANDEAL conducts rigorous quality checks at every stage of production. Products are manufactured to the specifications agreed in the Sales Contract.

7.2 Claims & Defects

Any quality claims or complaints must be raised in writing within 7 days of delivery, supported by photographic or physical evidence. PAVANDEAL will investigate all legitimate claims promptly and in good faith.

7.3 Disclaimer

Except as expressly stated in the Sales Contract, PAVANDEAL makes no additional warranties, expressed or implied, regarding fitness for a particular purpose beyond the agreed product specifications. Website content is provided 'as is' for general information purposes only.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• PAVANDEAL's total liability for any claim shall not exceed the value of the specific order to which the claim relates
• PAVANDEAL shall not be liable for any indirect, consequential, incidental, or special damages arising from use of our website or products
• PAVANDEAL shall not be liable for delays or failures caused by events outside our reasonable control (see Section 10 — Force Majeure)

Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by applicable law (including consumer protection laws in the UK, Australia, or USA).

9. Country-Specific Consumer Rights

9.1 United Kingdom & Ireland

Nothing in these Terms affects your statutory rights under UK or Irish consumer protection law, including the Consumer Rights Act 2015 (UK) and Sale of Goods and Supply of Services Act 1980 (Ireland). As this is a B2B service, consumer law provisions apply only where legally required.

9.2 United States

These Terms comply with applicable US federal and state laws. For California residents, additional rights may apply under the CCPA/CPRA (see our Privacy Policy). Nothing in these Terms waives any rights that cannot be waived under applicable US law.

9.3 Australia

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (ACL) which cannot lawfully be excluded or limited. Where our liability can be limited, it is limited to re-supply of the goods or the cost of replacement.

9.4 European Union

For EU-based business customers, these Terms are intended to be consistent with applicable EU commercial law. Consumer directive protections apply where required by applicable EU law.

10. Force Majeure

PAVANDEAL shall not be held liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, floods, earthquakes, or extreme weather events
• War, civil unrest, terrorism, or government actions
• Pandemic, epidemic, or public health emergency
• Port closures, shipping delays, or logistics disruptions
• Strikes, labour disputes, or industrial action
• Failures of third-party suppliers or subcontractors

In such events, PAVANDEAL will notify the buyer promptly and work in good faith to minimise delays and fulfil obligations as soon as reasonably practicable.

11. Confidentiality

Both parties agree to keep confidential all proprietary information, pricing, specifications, and business details shared during the course of the business relationship. This obligation survives termination of any agreement between the parties.

PAVANDEAL's website content, product designs, and manufacturing processes are proprietary and confidential. Sharing or disclosing this information to third parties without written consent is strictly prohibited.

12. Termination of Website Access

PAVANDEAL reserves the right to suspend or terminate access to the website, without notice, for any user who:

• Violates these Terms & Conditions
• Engages in fraudulent, abusive, or harmful behaviour
• Attempts to damage, hack, or disrupt our website or systems

Upon termination, all permissions granted under these terms immediately cease, and any downloaded materials must be destroyed.

13. Third-Party Links

Our website may contain links to third-party websites for reference purposes. PAVANDEAL has no control over the content or practices of these websites and accepts no responsibility or liability for them. Accessing third-party links is entirely at your own risk.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms & Conditions and any Sales Contracts entered into with PAVANDEAL shall be governed by and construed in accordance with the laws of the Republic of India, unless otherwise agreed in writing in a specific Sales Contract.

14.2 Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice.

If resolution cannot be reached, disputes shall be referred to binding arbitration in Ahmedabad, Gujarat, India, under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.

14.3 Jurisdiction-Specific Notes

UK/Ireland buyers: These terms do not limit your right to bring proceedings in UK or Irish courts where required by applicable mandatory law.

Australian buyers: These terms do not exclude rights under the Australian Consumer Law that cannot be lawfully excluded.

USA buyers: Where required by applicable state law, additional dispute resolution options may be available.

15. Changes to These Terms

PAVANDEAL reserves the right to update or modify these Terms & Conditions at any time. The 'Last Updated' date at the top of this document will reflect the most recent version.

Continued use of the website after changes are posted constitutes acceptance of the updated terms. For significant changes, we will post a notice on our website.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms & Conditions, together with any applicable Sales Contract, Performa Invoice, and Privacy Policy, constitute the entire agreement between PAVANDEAL and the user/buyer with respect to the subject matter herein, and supersede all prior communications, representations, or agreements.
